Bayer’s Principles of International Human Resources Policy for Managerial Employees, which
are outlined below, are mandatory guidelines for this important area of corporate policy.

Advancement opportunities for management personnel within the Bayer Group are
based on performance and ability, irrespective of nationality.

Bayer actively supports the assignment of Bayer Group managers outside their
home countries. This management exchange applies to transfers in all directions - from Bayer AG to
its subsidiaries, from the subsidiaries to Bayer AG and from subsidiary to subsidiary.

recognition that management positions at Bayer AG and its subsidiaries should,
in principle, be filled only by candidates with international experience. These candidates should
therefore have been employed at another Bayer Group company outside their home country, preferably
for a minimum of 2-3 years.
Every manager within the Bayer Group active in international business should
have a good knowledge of the English language. In addition, managers who do not have German as
their native language are encouraged to learn German.
